Terms of Use

These Terms of Use ("Terms") govern your access to and use of the MorphX AI-powered chatbot platform (the "Service") operated by FragmentX ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Definitions

  • "Account" means your registered account on the Service.
  • "Customer" or "You" means the individual or entity that registers for and uses the Service.
  • "End User" means any person who interacts with your chatbot through LINE, Facebook Messenger, web widget, or other connected channels.
  • "Tenant" means the business workspace you create within the Service, including its configuration, documents, and chat sessions.
  • "Content" means any documents, data, text, prompts, or other materials you upload or input into the Service.
  • "Plan" means the subscription tier you select (Starter, Pro, or Enterprise).

2. Account Registration

  1. You must provide accurate and complete information when creating an account.
  2. You are responsible for maintaining the confidentiality of your account credentials.
  3. You are responsible for all activities that occur under your account.
  4. You must notify us immediately of any unauthorized use of your account.
  5. You must be at least 18 years old to create an account.

3. Use of the Service

3.1 Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to:

  • Access and use the Service according to your selected Plan
  • Upload documents to create a knowledge base for your chatbot
  • Connect messaging platforms (LINE, Facebook Messenger) and deploy web widgets
  • Configure AI-powered responses and human handoff workflows
  • Access analytics and usage data related to your Tenant

3.2 Prohibited Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Upload, transmit, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Upload content that infringes on any third party's intellectual property rights, privacy, or other legal rights
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Circumvent or attempt to circumvent any usage limits, rate limits, or access controls
  • Use the Service to build a competing product or service
  • Resell, sublicense, or redistribute access to the Service without our prior written consent
  • Use the Service to send spam, unsolicited messages, or engage in any form of abuse through connected messaging platforms
  • Use the Service to generate content that impersonates another person or entity in a misleading manner
  • Store or process sensitive personal data (such as medical records, financial account numbers, or government identification numbers) in the knowledge base without appropriate legal basis and safeguards

4. Plans, Billing & Payment

4.1 Plans

The Service is offered in multiple tiers with different limits on messages, documents, platforms, and features. Current plan details are available on our Pricing page.

4.2 Free Plan

The Starter plan is provided free of charge with limited features and usage allowances. We reserve the right to modify, suspend, or discontinue the free plan at any time with 30 days notice.

4.3 Paid Plans

  • Paid plans are billed in Thai Baht (฿) on a monthly or annual basis, depending on your selection.
  • Payment is due at the beginning of each billing cycle.
  • All fees are non-refundable except as expressly stated in these Terms or required by law.
  • We reserve the right to change pricing with 30 days prior notice. Price changes will take effect at the start of your next billing cycle.

4.4 Usage Limits

Each plan includes specific limits on AI messages, documents, tokens, and connected platforms. If you exceed your plan limits:

  • You will receive a notification when you reach 75% of any limit.
  • Once a limit is reached, the affected functionality may be restricted until the next billing cycle or until you upgrade your plan.
  • We will not charge overage fees without your explicit consent.

4.5 Upgrades & Downgrades

  • You may upgrade your plan at any time. Upgrades take effect immediately, with prorated billing for the remainder of the current cycle.
  • You may downgrade your plan at any time. Downgrades take effect at the start of the next billing cycle.
  • When downgrading, features and limits of the lower plan will apply. Excess documents or platform connections beyond the new plan's limits will be retained but may become read-only.

5. Your Content

5.1 Ownership

You retain all ownership rights to the Content you upload to the Service. We do not claim any intellectual property rights over your Content.

5.2 License to Us

By uploading Content, you grant us a limited, non-exclusive, worldwide license to process, store, chunk, embed, index, retrieve, and display your Content solely for the purpose of providing the Service to you. This license terminates when you delete the Content or close your account.

5.3 Your Responsibilities

You represent and warrant that:

  • You have all necessary rights and permissions to upload and use the Content
  • Your Content does not violate any applicable laws, regulations, or third-party rights
  • You are responsible for the accuracy and legality of your Content
  • You will maintain appropriate backups of your Content

5.4 AI-Generated Responses

Responses generated by the AI are based on your uploaded Content and the selected AI model. You acknowledge that:

  • AI-generated responses may not always be accurate, complete, or appropriate
  • You are responsible for reviewing and monitoring the AI's responses to your end users
  • We do not guarantee the accuracy or suitability of any AI-generated content
  • You should not rely solely on AI-generated responses for critical decisions (medical, legal, financial advice, etc.)

6. End Users

  • You are solely responsible for your relationship with your end users.
  • You must provide appropriate privacy notices and disclosures to your end users, including informing them that they are interacting with an AI-powered system.
  • You must comply with all applicable laws regarding your end users' data, including the PDPA if operating in Thailand.
  • You must comply with the terms of service of any connected messaging platform (LINE, Facebook, etc.).
  • We are not responsible for any disputes between you and your end users.

7. Third-Party Services

The Service integrates with third-party providers including OpenAI, Cohere, Pinecone, LINE, and Meta (Facebook). Your use of the Service is also subject to the terms and policies of these third-party providers. We are not responsible for the practices or availability of third-party services.

8. Intellectual Property

  • The Service, including its code, design, features, documentation, and brand, is owned by FragmentX and protected by intellectual property laws.
  • These Terms do not grant you any right, title, or interest in the Service beyond the limited usage rights described herein.
  • The FragmentX name, logo, and related marks are our trademarks. You may not use them without our prior written consent.

9. Availability & Support

  • We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation.
  • We may perform scheduled maintenance with reasonable advance notice.
  • Support levels depend on your Plan (community support for Starter, priority support for Pro, dedicated account manager for Enterprise).
  • Enterprise SLA guarantees are subject to a separate agreement.

10. Suspension & Termination

10.1 By You

You may close your account at any time through the dashboard or by contacting us. Upon closure:

  • Your access to the Service will be immediately revoked.
  • Your data will be retained for 30 days in case you wish to reactivate, then permanently deleted.
  • No refunds will be provided for any unused portion of a prepaid billing cycle, unless required by law.

10.2 By Us

We may suspend or terminate your access to the Service if:

  • You violate these Terms or any applicable law
  • Your use poses a security risk to the Service or other users
  • Your account has been inactive for 12 consecutive months (free plans only)
  • Payment is overdue by more than 15 days (paid plans)

We will make reasonable efforts to notify you before suspension or termination, except in cases of urgent security concerns or clear Terms violations.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
  • We do not warrant that the Service will be uninterrupted, secure, or error-free, or that AI-generated responses will be accurate or suitable for any particular purpose.
  • In no event shall our total liability exceed the amount you paid for the Service in the 12 months preceding the event giving rise to the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • We shall not be liable for any damages arising from the actions of third-party service providers (OpenAI, Cohere, Pinecone, LINE, Meta, etc.).

12. Indemnification

You agree to indemnify and hold harmless FragmentX, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your Content or the AI-generated responses derived from your Content
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Disputes between you and your end users

13. Governing Law & Disputes

  • These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand.
  • Any disputes arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation.
  • If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Thailand.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and, for significant changes, by sending a notice to your registered email address at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. General Provisions

  • Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and FragmentX regarding the Service.
  • Severability — If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver — Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment — You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
  • Force Majeure — We shall not be liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, war, terrorism, pandemic, government actions, or failures of third-party services.
